Terms of service

1. Scope

These terms govern the use of the macOS application spokendocs and the licence sold for it, provided by Dennis Schneider, Vahlenhorst 20, 26127 Oldenburg, Germany (referred to below as the Provider). Using the app, or buying a licence for it, means accepting them.

The payment itself is concluded with Lemon Squeezy, LLC as merchant of record, see clause 6. Their terms cover the sale; these cover the software.

2. The free tier

spokendocs can be used without paying and without an account. The free tier generates up to 5 documents end to end. Recording, transcription, the built-in templates and the ones you write yourself are all part of it. There is no time limit, and nothing expires after a trial period.

3. The licence

The Pro licence lifts the 5-document limit and changes nothing else. It is bought once and is perpetual: no subscription, no renewal, no expiry, and no feature that later moves behind a wall.

The Provider grants the user a non-exclusive, non-transferable right to use the software. The licence is personal, may not be passed on or sublicensed, and covers installation on the Macs the user works on themselves. It covers the major version current at the time of purchase, 1.x for example, together with every minor and patch update within it.

4. Updates and upgrades

Updates within the purchased major version, 1.0 to 1.1 to 1.2 and so on, are included in the price and free of charge.

Upgrades to a later major version, 1.x to 2.x for example, are a separately licensed product version and may be charged for. Existing licence holders may be offered a reduced upgrade price. There is no entitlement to the development of future major versions.

5. Your own API keys and what they cost

spokendocs can be pointed at an AI provider with a key you supply, at a local provider such as Ollama, or at any other OpenAI-compatible endpoint you control. Any charges those services raise are not included in the purchase price and are owed by the user directly to that provider. The Provider has no influence over their prices, their availability or their terms.

6. Price and payment

The Pro licence costs €79 while the first 100 licences last, and €189 afterwards. The founding price ends after a fixed number of licences, not on a date.

Payment, invoicing and VAT are handled by Lemon Squeezy, LLC as merchant of record. Their terms apply to the payment alongside these terms.

7. Right of withdrawal

As a consumer you have a 14-day right of withdrawal. For digital content not supplied on a physical medium, that right expires early under § 356(5) BGB once all three of the following are true:

• performance has begun, meaning the download or the licence key has been delivered,
• you expressly consented to performance beginning before the withdrawal period expires, and
• you confirmed that you understood you lose the right of withdrawal by consenting.

That consent is obtained during checkout with Lemon Squeezy. A withdrawal is declared to them as the seller; writing to [email protected] also reaches us and we will pass it on.

8. What the software promises

The software is provided as is. Text produced by an AI model, local or through a key of your own, comes with no warranty of accuracy, completeness or reliability. Reviewing what a generated document says before using it is the user's responsibility, and that matters most in exactly the settings this app is built for.

Because everything is stored on your own Mac and nowhere else, backups are the user's own. A machine that is lost takes its recordings and documents with it, and the Provider cannot restore them.

9. Liability

The Provider is liable without limitation for intent and gross negligence. For slight negligence the Provider is liable only where a material contractual obligation is breached, and then limited to the foreseeable damage typical for this kind of contract. These limits do not apply to injury to life, body or health, nor to claims under the Product Liability Act.

10. Data protection

What is processed, by whom, and on what basis is set out in the privacy policy.

11. Final provisions

German law applies, and the UN Convention on Contracts for the International Sale of Goods is excluded. Where the user is a consumer, this choice of law does not remove the protection of mandatory provisions of the law of their country of habitual residence.

If the user is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction is the Provider's registered office. Should a provision of these terms be or become invalid, the remaining provisions stay in force.
